4. Eligibility and Customer Authority
You may use the Website only for lawful purposes and in accordance with these Terms.
By purchasing or using our Services, you represent and warrant that:
- You have the legal capacity and authority to enter into the relevant agreement.
- Any information you provide to us is accurate, complete and not misleading in any material respect.
- You have the rights, permissions and authorisations necessary to provide Customer Materials to us.
- Your use of the Services does not violate applicable law, contractual obligations or third-party rights.
- You will promptly notify us if your authority to provide data, access systems or instruct campaigns is withdrawn or materially restricted.
We reserve the right to decline engagements that we reasonably believe involve unlawful conduct, prohibited industries, deceptive practices or material risks to individuals, third parties or our business.
5. Customer Responsibilities
Successful delivery of the Services depends on the Customer providing timely instructions, information, access and approvals.
The Customer agrees to:
- Provide accurate information about its business, products, services, target markets and intended audiences.
- Ensure that Customer Materials and any contact data supplied to us have been collected, obtained and may be used lawfully.
- Obtain all permissions, consents, authorisations and other legal prerequisites required for its intended marketing and outreach activities.
- Review and approve campaign messaging, target audiences, claims, offers and other material campaign decisions where approval is requested or required.
- Ensure that marketing claims about its products and services are truthful, substantiated and not misleading.
- Maintain the security of its domains, mailboxes, accounts, credentials and other systems under its control.
- Provide timely responses, feedback and approvals reasonably required for campaign execution.
- Promptly inform us of complaints, unsubscribe requests, objections, suppression requirements, legal restrictions or other relevant issues of which it becomes aware.
- Refrain from directing us to engage in unlawful, deceptive, abusive, fraudulent or otherwise prohibited outreach.
- Comply with the applicable terms of third-party platforms used in connection with the Services.
The Customer remains responsible for the legality of its business, its products and offers, and the instructions and representations it authorises us to communicate.
If the Customer fails to provide required information, access or approvals, the resulting delays, reduced campaign activity or inability to deliver specific work will not automatically constitute a breach by RevupSaaS.
6. Email Outreach and Regulatory Compliance
Outbound email and other marketing activities may be subject to different laws depending on the sender, recipient, location, communication channel and nature of the communication.
These may include applicable Indian information technology and data protection laws, the United States CAN-SPAM Act, applicable European data protection and electronic communications laws, the United Kingdom's applicable privacy and electronic marketing laws, and other relevant local requirements.
The parties agree to cooperate in meeting their respective legal obligations.
6.1 Customer Obligations
The Customer is responsible for ensuring that its business objectives, products, targeting instructions, supplied contact lists, approved messaging and intended outreach activities are lawful in the relevant jurisdictions.
Where required, the Customer must obtain appropriate consent or establish another legally valid basis for processing personal data and conducting communications.
The Customer must not instruct RevupSaaS to:
- Send messages to individuals who have validly opted out or must otherwise be excluded.
- Use unlawfully obtained, stolen, purchased or otherwise unauthorised data.
- Misrepresent the identity of the sender, the purpose of a communication or the nature of an offer.
- Use deceptive subject lines, misleading claims or fraudulent practices.
- Circumvent applicable sending restrictions, suppression requirements or platform safeguards.
- Engage in unlawful spam, harassment or prohibited marketing activity.
6.2 RevupSaaS Obligations
Within the agreed scope and subject to the Customer's cooperation, RevupSaaS will use reasonable efforts to implement appropriate campaign controls, maintain relevant suppression instructions, configure agreed email authentication measures and operate campaigns in accordance with applicable instructions and legal requirements.
Unless expressly agreed in writing, RevupSaaS does not provide legal advice or guarantee that a particular campaign, contact source, data set or marketing strategy complies with every law applicable to the Customer.
6.3 Suspension of Campaigns
RevupSaaS may pause, restrict or suspend campaign activity if it reasonably believes that the activity may violate applicable law, third-party platform rules, these Terms or the parties' written agreement, or may expose either party to material legal, security or reputational risk.
Where reasonably practicable, we will notify the Customer and explain the issue. Campaigns may resume after the relevant issue has been appropriately addressed.
A suspension caused by the Customer's unlawful instructions, failure to obtain necessary permissions or breach of these Terms will not automatically entitle the Customer to a refund.
7. Fees, Billing and Payment
Fees, billing frequency, payment currency, applicable taxes, payment deadlines and any additional charges will be specified in the applicable proposal, order form, invoice or written agreement.
Unless otherwise expressly agreed:
- Services are billed in accordance with the agreed billing schedule.
- The Customer must pay invoices within the payment period specified in the relevant invoice or agreement.
- Applicable taxes, duties and levies will be charged as required by law.
- The Customer is responsible for charges incurred with third-party vendors or platforms where those charges are allocated to the Customer under the applicable agreement.
- Any disputed invoice must be raised promptly, with reasonable details supporting the dispute, and the undisputed portion must be paid by its due date.
If payment is overdue, RevupSaaS may provide written notice and a reasonable opportunity to cure the default before suspending Services, subject to the applicable agreement and law.
We may charge lawful interest or recover reasonable costs associated with overdue amounts only where permitted by the applicable agreement and law.
No fee, discount, credit or refund is available unless expressly provided in the applicable agreement or required by law.
8. Subscription Term, Renewal and Cancellation
The term of a paid engagement will be set out in the applicable proposal or written agreement.
Where a service is agreed on a month-to-month basis, it will continue on a monthly basis until terminated in accordance with the applicable agreement.
Unless otherwise agreed in writing:
- Either party may terminate a month-to-month engagement by providing at least thirty (30) days' written notice.
- Fees accrued for Services performed, and other amounts contractually payable up to the effective termination date, remain payable.
- Fees for a notice period remain payable where required under the agreed commercial terms.
- Any prepaid amounts, setup fees or other charges will be handled in accordance with the applicable agreement and applicable law.
- Termination does not remove obligations or liabilities that arose before the effective termination date.
If the Customer wishes to pause a campaign, change its target market or materially alter the scope of Services, the parties will agree on any resulting changes to fees, timelines and deliverables in writing.
Where an agreement provides for a fixed term or different termination rights, that agreement will govern.
9. Third-Party Services and Platforms
RevupSaaS may use third-party platforms to provide or support the Services, including email providers, website and cloud infrastructure providers, scheduling tools, prospect research and data enrichment platforms, campaign management tools, CRM systems and analytics services.
These may include services such as Google Workspace, Gmail, Netlify, Calendly, Instantly, Clay, Bitscale and similar platforms.
The availability, functionality, pricing, policies and technical requirements of such services are controlled by their respective providers.
RevupSaaS does not control and cannot guarantee the uninterrupted availability of any Third-Party Service. A provider may modify its features, restrict an account, impose sending limits, change its pricing or discontinue a service.
The Customer agrees to comply with applicable third-party terms when using accounts or services under its control.
Where a third-party disruption materially affects delivery, we will use reasonable efforts to communicate the impact and, where appropriate, identify a reasonable alternative. We are not responsible for a third party's independent acts or failures to the extent not caused by our own breach, negligence or other legally actionable conduct.
10. Domains, Mailboxes and Email Infrastructure
Where email infrastructure forms part of the Services, the parties will document ownership, account access, provisioning responsibilities, recurring vendor costs and handover arrangements in the applicable agreement.
Unless expressly agreed otherwise in writing:
- Domains and mailboxes purchased and paid for directly by the Customer will remain the Customer's property or under its control, subject to the relevant provider's terms.
- The Customer is responsible for domain registration fees, mailbox subscriptions and other third-party costs allocated to it.
- RevupSaaS may assist with configuring email authentication and related settings, but cannot guarantee that messages will reach recipients' inboxes or avoid spam filters.
- The Customer must maintain appropriate account access, billing and security for infrastructure under its control.
- Neither party may use the other's accounts, credentials or systems beyond the authority granted under the applicable agreement.
Email deliverability is influenced by multiple factors, including sender reputation, recipient behaviour, mailbox provider policies, message content, authentication, complaint rates and changes in third-party filtering systems.
Accordingly, RevupSaaS does not guarantee a particular inbox placement rate, sending reputation, domain health outcome or uninterrupted email-sending capacity.
11. Data Ownership and Use
Each party retains ownership of the data, materials and intellectual property it owned or lawfully controlled before the engagement.
Subject to applicable law, third-party rights and the applicable agreement:
- The Customer retains its rights in Customer Materials and its pre-existing business data.
- RevupSaaS may access and process Customer Materials only as reasonably necessary to perform the Services, administer the relationship, maintain security or meet legal obligations.
- The Customer is responsible for ensuring it has the rights and permissions necessary for RevupSaaS to use Customer Materials for the agreed purposes.
- RevupSaaS may retain business records and limited information as reasonably necessary for legal compliance, dispute resolution, security, billing and enforcement of contractual rights.
Where RevupSaaS collects or enriches professional contact information through third-party sources, the availability of such data does not itself guarantee its accuracy, completeness, current status or unrestricted use.
Data handling will also be governed by our Privacy Policy and, where applicable, a separate data processing agreement or other written contractual terms.
12. Intellectual Property
The Website, including its design, branding, text, graphics, software and other original content, is owned by or licensed to RevupSaaS and is protected by applicable intellectual property laws.
Except as expressly permitted by law or authorised in writing, you may not reproduce, distribute, modify, publicly display, reverse engineer or commercially exploit protected Website content.
Customer Materials remain the property of the Customer or their respective rights holders.
Ownership and licensing of custom campaign copy, research outputs, reports, configurations, workflows and other Deliverables will be governed by the applicable proposal or written agreement.
Unless otherwise agreed in writing, the Customer is granted a licence to use Deliverables for its internal business purposes once all applicable fees for those Deliverables have been paid.
Any assignment or transfer of intellectual property rights must be expressly agreed in writing.
RevupSaaS retains ownership of its pre-existing methods, frameworks, templates, processes, know-how, generic workflows, tools and independently developed materials, including improvements that do not disclose the Customer's confidential information or transfer the Customer's proprietary materials to another customer.
Neither party may use the other party's trademarks, logos or branding in public marketing materials without prior written permission, except where otherwise authorised in writing.
13. Confidentiality
Each party may receive confidential or commercially sensitive information from the other in connection with the Services.
The receiving party agrees to:
- Use such information only for the purposes of the engagement.
- Protect it using reasonable care and safeguards.
- Disclose it only to employees, contractors, advisers and service providers who reasonably need access and are subject to appropriate confidentiality obligations.
- Not disclose it to unauthorised third parties, except as permitted by the disclosing party or required by law.
Confidential information does not include information that the receiving party can demonstrate was lawfully known to it before disclosure, is or becomes publicly available without breach, is independently developed without use of the confidential information, or is lawfully received from a third party without a confidentiality restriction.
Where disclosure is legally required, the receiving party may disclose the information to the extent required by law and, where legally permitted, will provide reasonable prior notice.
Confidentiality obligations will survive termination for three (3) years, except for trade secrets and information that remains protected under applicable law, which will remain protected for as long as legally required.
14. Service Performance and No Guaranteed Results
RevupSaaS will perform the agreed Services with reasonable care and skill, subject to the applicable agreement and the Customer's cooperation.
The Customer acknowledges that outbound sales performance depends on factors beyond RevupSaaS's control, including market conditions, product-market fit, pricing, brand reputation, the accuracy of prospect data, the Customer's offer, competition, recipient behaviour and third-party platform policies.
Unless expressly guaranteed in a separate written agreement, RevupSaaS does not warrant or guarantee:
- A minimum number of leads, meetings, appointments or qualified opportunities.
- Any specific conversion rate, sales pipeline value, revenue, return on investment or customer acquisition cost.
- A particular email open rate, reply rate, inbox placement or sender reputation.
- The accuracy, completeness or continuing availability of third-party data.
- Uninterrupted or error-free operation of third-party platforms.
Any projections, estimates, forecasts, case studies or illustrative results are informational and are not guarantees of future performance.
15. Warranties and Disclaimers
To the maximum extent permitted by applicable law, the Website and any general information published on it are provided on an “as available” basis.
We do not warrant that the Website will always be available, secure, error-free or compatible with every device or browser.
Nothing in these Terms excludes any warranty, representation or obligation that cannot lawfully be excluded.
RevupSaaS does not provide legal, tax, accounting or regulatory advice through its Website or ordinary Services unless the parties expressly agree otherwise in writing and the relevant service may lawfully be provided.
16. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary or consequential losses, including loss of anticipated profits, business opportunities, goodwill or expected savings, arising out of the Services or these Terms, except to the extent such losses arise from matters that cannot lawfully be excluded.
Subject to applicable law and the exclusions below, the aggregate liability of either party arising out of or in connection with the Services during the relevant engagement will not exceed the total fees paid or payable to RevupSaaS under that engagement during the three (3) months immediately preceding the event giving rise to the claim.
This limitation does not apply to:
- Fraud or fraudulent misrepresentation.
- Wilful misconduct or liability that cannot lawfully be limited.
- A party's payment obligations.
- A party's infringement or misappropriation of the other party's intellectual property, to the extent liability for that infringement cannot lawfully be excluded or is expressly excluded from the cap in a separate written agreement.
- Any other liability that the parties expressly agree in writing will not be subject to this limitation.
Nothing in this section excludes or limits any liability to the extent such exclusion or limitation is prohibited by applicable law.
The allocation of risk in this section is intended to apply only to the extent enforceable under the governing law and any applicable mandatory legal protections.
17. Indemnification
To the extent permitted by applicable law, the Customer agrees to indemnify and hold harmless RevupSaaS, its directors, officers, employees and authorised contractors against third-party claims, losses, liabilities, damages and reasonable legal expenses arising directly from:
- Customer Materials that the Customer did not have the right to provide or authorise for use.
- The Customer's products, services, offers or business practices.
- Campaign content, claims or instructions supplied or approved by the Customer that violate applicable law or third-party rights.
- The Customer's unlawful use of personal data or instructions to conduct unlawful outreach.
- The Customer's material breach of these Terms or applicable law.
This indemnity will not apply to the extent a claim results from RevupSaaS's own breach of contract, negligence, wilful misconduct or other conduct for which the Customer cannot lawfully be required to indemnify RevupSaaS.
The party seeking indemnification will provide reasonably prompt notice of the claim and reasonable cooperation. No settlement imposing an admission of liability or non-monetary obligation on the indemnified party may be entered into without that party's consent.
Any indemnification obligation imposed on RevupSaaS must be expressly agreed in the applicable written agreement.
18. Suspension and Termination for Cause
Either party may terminate the applicable service engagement by written notice if the other party materially breaches the agreement and fails to remedy the breach within thirty (30) days after receiving written notice, where the breach is capable of remedy.
Where a breach cannot reasonably be remedied, or where continued performance would create a material legal, security or operational risk, the affected party may suspend the relevant activities immediately and terminate the engagement where permitted by the applicable agreement and law.
RevupSaaS may suspend access to the Website or Services where reasonably necessary to protect security, prevent fraud, comply with law or address misuse.
Upon termination:
- The Customer must pay fees and other amounts properly due under the applicable agreement.
- Each party must return or securely dispose of the other party's confidential information where required, subject to lawful retention obligations.
- RevupSaaS will provide any agreed handover assistance in accordance with the applicable agreement.
- Provisions that by their nature should survive termination will remain in effect.
19. Privacy and Personal Data
Our processing of personal data in connection with the Website is described in our Privacy Policy.
Where RevupSaaS processes personal data on behalf of a Customer as part of the Services, the parties will comply with applicable data protection law and enter into any additional data processing terms reasonably required by law or the nature of the engagement.
Each party will remain responsible for its own legal obligations in relation to personal data it controls or processes.
In the event of a suspected personal data breach affecting information processed under a customer engagement, the parties will cooperate reasonably in investigating, containing and addressing the incident and making any required notifications.
20. Force Majeure
Neither party will be liable for a delay or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, governmental action, widespread telecommunications or internet failures, power outages, epidemics, cyberattacks not caused by the affected party's failure to take reasonable precautions, or material third-party infrastructure disruptions.
The affected party will use reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable.
If a force majeure event materially prevents performance for an extended period, either party may terminate the affected Services by written notice, subject to payment for Services already performed and any other rights under the applicable agreement or law.
21. Amendments to These Terms
We may update these Terms from time to time to reflect changes in our Website, business practices, service offerings or applicable law.
The revised Terms will be published on this page with an updated “Last Updated” date.
Changes to these general Website Terms will apply from publication or the later effective date stated in the revised Terms. Material changes to an existing customer engagement will not override a signed agreement unless the parties agree in writing or the change is otherwise permitted by that agreement and applicable law.
Continued use of the Website after revised Terms take effect constitutes acceptance of those Terms to the extent permitted by applicable law.
22. Governing Law and Dispute Resolution
These Terms will be governed by the laws of India, subject to applicable mandatory legal protections.
The parties will first attempt in good faith to resolve any dispute arising out of these Terms or the Services through discussions between their authorised representatives.
If the dispute cannot be resolved within thirty (30) days after written notice of the dispute, the parties may refer it to arbitration by mutual agreement in accordance with the Arbitration and Conciliation Act, 1996, as amended.
Where the parties agree to arbitration, the arbitration will be conducted by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be Pune, Maharashtra, India. The proceedings will be conducted in English.
Subject to the foregoing and applicable law, the competent courts at Pune, Maharashtra, will have jurisdiction over disputes arising out of these Terms, including applications for interim relief and matters that are not legally capable of being referred to arbitration.
Nothing in this section restricts a party from seeking urgent interim relief from a court of competent jurisdiction or limits rights that cannot lawfully be waived.
23. General Provisions
23.1 Entire Agreement
These Terms, together with the Privacy Policy and any applicable proposal, order form, statement of work or separate written agreement, constitute the agreement governing the relevant subject matter.
Where a signed customer agreement conflicts with these general Terms regarding the Services, the signed agreement will prevail to the extent of the conflict.
23.2 Severability
If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent legally permissible.
23.3 No Waiver
A failure or delay in enforcing any provision of these Terms does not constitute a waiver of that provision or any other right.
23.4 Assignment
Neither party may assign its rights or obligations under an applicable customer agreement without the other party's prior written consent, except where the agreement expressly permits the assignment or applicable law otherwise allows it. Any permitted assignee must assume the relevant obligations.
23.5 Independent Contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency, except where expressly agreed in writing.
23.6 Electronic Communications
The parties may communicate, exchange documents and accept proposals electronically, subject to applicable law and any required execution formalities.
23.7 No Third-Party Beneficiaries
Except where expressly provided or required by law, these Terms do not create enforceable rights in favour of third parties.
